Professional Terms

Effective October 15, 2026 · Version 2026-10-15-v3. Every RLI Pro practice accepts these terms when it first signs in.

Effective October 15, 2026 · Version 2026-10-15-v3

These Professional Terms (the “Terms”) form a binding agreement between you and your practice (“you,” the “Professional”) and Fitomics, LLC, an Alabama limited liability company, and Fitomics Research Labs, LLC, a Tennessee limited liability company (together with their affiliates, “Fitomics,” “we,” “us”), governing your access to and use of the RLI Pro platform, websites, applications, integrations, and related services (collectively, the “Platform”). They supplement, and incorporate by reference, the Fitomics Terms of Service and Privacy Policy. If these Terms conflict with those documents with respect to your professional use, these Terms control. Please read them carefully — they include important limitations of liability, an indemnification obligation, and (where enforceable) a dispute-resolution and class-action waiver provision.

1. Acceptance and eligibility

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. You represent and warrant that you are at least 18 years old, that you are duly authorized to enter into these Terms on behalf of your practice, and that all information you provide is accurate and complete. If you do not agree, do not access or use the Platform.

2. What the Platform is — and is not

RLI Pro is a wellness and laboratory-monitoring platform offered on a cash-pay (self-pay) basis. It is not a diagnostic or medical service, is not advertised as one, and the testing facilitated through it is elective and is not represented to be medically necessary. The Platform is an informational, administrative, and coordination tool that helps you order laboratory testing through independent, third-party CLIA-certified laboratories; organize, chart, and trend results; manage client records and communications; and access optional tools and integrations (including electronic-health-record billing, nutrition and training data, body-composition and testing data, and AI-assisted insights).

Fitomics does not practice medicine, provide medical, clinical, diagnostic, or other professional advice, perform laboratory testing, or establish any clinician–patient or provider–patient relationship with you or your clients or patients (“Clients”). The Platform is a tool you use in the exercise of your own independent professional judgment; it is not a substitute for that judgment.

3. Your professional responsibility and independent judgment

You are solely and exclusively responsible for all decisions to order or decline testing, for the selection of tests, for the interpretation of results, and for any assessment, guidance, recommendation, treatment, or care you provide to your Clients. You exercise your own independent professional discretion at all times, and you will not rely on the Platform (including any AI output, reference range, flag, trend, or summary) as the sole basis for any decision regarding a Client.

To the fullest extent permitted by law, you waive, release, and forever discharge Fitomics and its affiliates, and their respective officers, directors, employees, and agents, from any and all liabilities, claims, and damages arising from or relating to your professional decisions, your use of information obtained through the Platform, and your relationships with your Clients. Fitomics is not responsible or liable for the acts, omissions, errors, or failures of its independent service providers, including laboratories, billing, integration, and coordination partners.

4. Licensure, scope of practice, and legal compliance

You represent, warrant, and covenant on an ongoing basis that: (a) you hold, and will maintain, all licenses, registrations, certifications, and authorizations required to use the Platform and to order laboratory testing and provide services to your Clients in each applicable jurisdiction; (b) your use of the Platform is within your lawful scope of practice; (c) you are not, and no person with an ownership or control interest in your practice is, excluded, debarred, suspended, or otherwise ineligible to participate in any federal or state healthcare program; and (d) you will comply with all applicable laws, regulations, and professional and ethical standards, including those governing scope of practice, laboratory testing (including CLIA), telehealth, advertising, consumer protection, payments, data privacy and security, and the lawful provision and receipt of any fees, commissions, or rewards. You are solely responsible for determining whether and how your use of the Platform is permitted under the laws applicable to you.

5. Clients, consent, and privacy (cash-pay wellness service)

You are responsible for establishing and maintaining your own relationship with each Client and for obtaining each Client's informed consent and any required authorizations before you order testing, upload or submit their information, link external records, or share their information through the Platform. You represent that you have the authority and consent necessary for Fitomics to process and disclose the Client information you submit as described in the Privacy Policy and as needed to provide the Platform (including disclosure to laboratories and service providers to fulfill an order). You are responsible for the accuracy, legality, and appropriateness of the information you submit and for having a lawful basis to do so.

The Platform operates on a cash-pay (self-pay) basis. Fitomics does not bill, submit claims to, or accept payment from Medicare, Medicaid, any other government healthcare program, or any third-party insurance payer, and does not engage in HIPAA-covered transactions. Accordingly, the parties do not intend Fitomics to be a HIPAA “covered entity” or “business associate” with respect to information processed through the Platform. To the extent you are nonetheless subject to HIPAA or to any other health- or consumer-data privacy law, you remain responsible for your own compliance. Fitomics maintains commercially reasonable administrative, technical, and physical safeguards to protect the information you submit, as further described in the Privacy Policy.

6. AI-assisted insights (FitSights and similar features)

The Platform may offer AI-assisted features (including “FitSights”) that generate summaries, observations, patterns, or other outputs from lab and related data (“AI Outputs”). AI Outputs are provided for educational and informational purposes only as part of a wellness-monitoring service. They are not medical advice, a diagnosis, a treatment recommendation, or a medical device, and they may be incomplete, inaccurate, out of date, or otherwise unreliable. You must independently review, verify, and exercise your own professional judgment before relying on or acting on any AI Output, and you are solely responsible for any use you make of it. Fitomics disclaims all warranties regarding the accuracy, completeness, or fitness of AI Outputs to the fullest extent permitted by law.

7. Third-party services and integrations

The Platform relies on, and lets you connect to, independent third-party services (including laboratories and lab-ordering networks, payment processors, electronic-health- record and billing systems, and nutrition, training, body-composition, and testing data providers). Those services are operated by third parties and may be subject to their own terms and privacy practices. Fitomics does not control, and is not responsible or liable for, the availability, accuracy, acts, or omissions of any third-party service. By enabling an integration you authorize the exchange of the relevant data between the Platform and that service to provide the requested functionality.

8. Plans, usage charges, subscriptions, and billing

Plans. RLI Pro is offered on a no-subscription plan (“Pay as you go”) and a paid subscription plan (“Pro+”), billed monthly or annually. Current prices, plan features, per-use prices, included credits, allowances, and any trial are published at pro.fitomicslabs.com/pricing (the “Pricing Page”) and are part of these Terms. If your practice has signed a pricing addendum with Fitomics, that addendum controls the prices it covers and these Terms govern everything else.

Price changes. We may change subscription prices with at least 30 days' notice to the billing email on file; the new price applies from your next renewal after the notice period, and you may cancel before then. We may change per-use prices, credits, and allowances by updating the Pricing Page; the updated per-use price applies to actions you start after the update.

Per-use charges. Certain features (for example, AI-assisted questions and reviews, GI-MAP analysis, and genetics import) are charged per use at the per-use price on the Pricing Page at the time you start the action. Included or promotional credit (such as a one-time welcome credit or a monthly Pro+ credit) is applied before any amount is billed. Credits have no cash value, cannot be transferred or redeemed for cash, and expire as described on the Pricing Page; the monthly Pro+ credit is available per calendar month and unused credit does not roll over. We may withhold or reverse credit granted in error or obtained through abuse or violation of these Terms. Per-use charges not covered by credit are billed monthly in arrears on an itemized invoice charged to the payment method on file; we may carry very small balances forward to the next invoice.

Monthly budget. You may set a monthly budget for per-use charges in the Platform, and we will not knowingly start a billable action that would take you past it. Because several members of your team may act at the same time, and some actions run for a while before completing, charges may occasionally exceed the budget by the cost of actions that had already started; those charges remain payable. The budget is a control you set for your own use and is not a limit on fees you have already incurred. Changes to the budget apply to actions started after the change.

Payment methods. No payment method is required to open a Pay-as-you-go account or to use included credit. A payment method is required to place practice-paid orders, to use per-use features beyond your available credit, and to continue Pro+ after any trial. By adding a payment method you authorize Fitomics and its payment processor (Stripe) to store it and to charge it for practice-paid orders, subscription fees (including recurring renewals), monthly usage invoices, and other amounts you owe under these Terms.

Pro+ subscriptions, trials, renewal, and cancellation. Pro+ renews automatically at the end of each monthly or annual term at the then-current price until you cancel. You can cancel at any time from Settings → Plan & usage (which opens our payment processor's billing portal) or by emailing labs@fitomics.org; cancellation takes effect at the end of the current term, you keep Pro+ until then, and no further subscription fees are charged. Where a Pro+ trial is offered, its length is stated when you start it, it is limited to one per practice, and it may start without a payment method. If a payment method is on file when the trial ends, the subscription converts to paid Pro+ and the first charge occurs at that time; if not, the trial ends and your practice returns to Pay as you go. Usage incurred before cancellation remains payable.

Storage and team seats. Each plan includes the file-storage and team-seat allowances on the Pricing Page. We may decline new uploads that would exceed your storage allowance. Team seats beyond the included number are billed at the per-seat price on the Pricing Page and renew with your subscription.

Non-payment, refunds, taxes, and disputes. Except where required by law or stated otherwise on the Pricing Page, subscription fees and per-use charges are non-refundable, and amounts already accrued remain payable. If a charge fails or is reversed (including by chargeback), we may suspend per-use actions, Pro+ features, and practice-paid ordering until the balance is settled, retry the payment method on file, and apply any later payment to the oldest balance first. Prices exclude taxes; where we are required to collect sales or similar taxes, we will add them to your invoice. If you believe a charge is wrong, contact us at the address in Section 19 within 60 days of the invoice so we can correct it; you agree to give us that opportunity before disputing a charge with your card issuer.

9. Commissions, rewards, and the Insider program

Where offered and where lawful, you may earn commissions, rewards, or credits in connection with eligible activity (for example, a percentage of what a Client pays on an order placed through the Platform, or rewards associated with Client Insider memberships). Current rates, eligibility, accrual rules, thresholds, and bonuses are described in the Platform and may change with notice. Practice-paid and self-paid orders, and ineligible or reversed transactions, do not earn commission. Amounts may be reduced, withheld, clawed back, or forfeited in cases of refund, chargeback, cancellation, error, fraud, or violation of these Terms, and are paid at Fitomics's discretion subject to verification.

Because the Platform operates on a cash-pay basis and does not involve Medicare, Medicaid, other government healthcare programs, or insurance reimbursement, these commissions and rewards are commercial marketing arrangements for elective wellness services. They are not a guarantee of any income. You are solely responsible for ensuring that your participation in, and receipt of, any commission, reward, or membership benefit complies with the laws and the professional and ethical rules applicable to you (including any advertising or fee-splitting rules of your licensing board, where applicable), and for all tax obligations and reporting associated with amounts you receive. Insider memberships are agreements between the Client and Fitomics or its store; you are not a party to them.

10. Accounts, team members, and security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account and under the accounts of any team members, staff, or seats you add. You will keep your information accurate, use the Platform only for lawful professional purposes, and promptly notify us of any unauthorized access or suspected security incident. You are responsible for your team members' compliance with these Terms.

11. Acceptable use

You will not: misuse the Platform or interfere with its operation or security; access it by unauthorized means or scrape, harvest, or reverse engineer it; resell, sublicense, or provide access to anyone not authorized under your plan; upload unlawful, infringing, or malicious content or any data you lack the right to submit; misrepresent your identity, licensure, or authority; or use the Platform in violation of any law or the rights of any person. We may investigate and take appropriate action, including suspension or termination, for suspected violations.

12. Intellectual property and data

Fitomics and its licensors own all rights in the Platform and its content, software, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal professional use. You retain your rights in the data you submit, and you grant Fitomics a license to host, process, and use that data to provide, secure, support, and improve the Platform and as otherwise described in the Privacy Policy and any separate written agreement between us. If you provide feedback, you grant Fitomics a perpetual, royalty-free license to use it without restriction.

13. Disclaimers

THE PLATFORM AND ALL CONTENT, RESULTS, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. Fitomics does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any information, result, reference range, flag, trend, or AI Output is accurate, complete, or current. You assume all risk arising from your reliance on the Platform.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FITOMICS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FITOMICS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID TO FITOMICS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You will defend, indemnify, and hold harmless Fitomics and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your professional decisions, services, and relationships with your Clients; (c) your violation of these Terms or of any law or third-party right; (d) the data or content you submit; and (e) acts or omissions of your team members or anyone using your account.

16. Suspension and termination

You may stop using the Platform at any time and cancel a subscription as described in Section 8. We may suspend or terminate your access, in whole or in part, with or without notice, for any breach of these Terms, non-payment, suspected unlawful or unsafe activity, risk to the Platform or others, or as required by law. On termination, your license ends and you must stop using the Platform. Sections that by their nature should survive (including those on responsibility, disclaimers, limitation of liability, indemnification, fees accrued, intellectual property, and dispute resolution) survive termination.

17. Dispute resolution and governing law

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally. Any dispute not resolved informally will be brought exclusively in the state and federal courts located in Alabama, and each party consents to that jurisdiction and venue. To the extent permitted by law, each party waives any right to a jury trial and to participate in a class, collective, or representative action. Nothing in this section limits either party from seeking injunctive relief to protect its intellectual property or confidential information.

18. General

We may modify these Terms. We will post the updated Terms with a new version and effective date, and material changes will require renewed acceptance in the Platform before continued use; price changes are handled as described in Section 8. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. The parties are independent contractors, and these Terms create no agency, partnership, or joint venture and no third-party beneficiaries. Neither party is liable for delays or failures caused by events beyond its reasonable control. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the documents they incorporate, are the entire agreement between the parties regarding the Platform and supersede prior agreements on that subject.
